To achieve the goals described above, the
society conducts the following activities,
while abiding by the Georgian Law:

6.2. A member of the Society is committed:
7. Management of the Society
7.1. The Society is found by the
founders’ decision. The founders are
members of the Society. The founders confirm
the Society Rules by the majority of the two
thirds, of the presented members;
7.2. The supreme organ of the Society is the
general meeting of the Society members. The
general meeting is authorized if more then a
half of the Society members(votes), if not
otherwise specified in the law or the
Society Rules. Each member of the Society
has one vote. The vote cannot be given to
the other person;
7.3. The general meeting’s terms of
reference cover:
7.4. During the periods of time between
general meetings the directing organ of the
Society is the board, that is elected by the
general meeting for the period of 5 years
and is consisted of 3 members:

7.5. The general meeting elects the
Chairman from the members of the board for 5
years.
7.6. The meeting of the board is appointed
by the chairman of the Society according to
the needs of the Society. The meeting of the
board is authorized if at least the 2/3 of
the board members are present. The decisions
are made by the majority of the votes. The
protocol of the meeting is made, that
represents the points discussed at the
meeting and the corresponding decisions.
7.7. The members of the board are obliged
to direct the activities of the Society
according to the laws and the Society rules
and are responsible for damages caused by
the negligence of their duties.

7. 9. All the activities of the board are
directed by the Chairman of the Society. The
Chairman is elected by the general meeting
of the Society members for a term of 5
years.
7. 10. The Chairman of the Society:
7.11. In the case of the Chairman’s
resignation or ceasing his rights ahead of
time the board within a month elects a new
chairman for the remaining period of time.
8.1. The property of the Society consists
of property, capital, and other values, that
are represented in its independent balance
and are needed to carry out the Society
activities, provided by these regulations.
8.2. According to the law the funds of the
Society are constituted by:
8.3. The Society can own buildings,
transport means, funds, shares (stocks),
residential funds, stock and other property,
not contradicting the legislation.
8.4. To achieve the abovementioned
objectives the Society can carry out the
additional business, establish the
enterprises and organizations, using the
profits of their activities to achieve
objectives of the regulations. It cannot be
permitted to distribute the profits among
the founders of the Society, sponsors and
the board members.
8.5. The Society can carry out any
activities, despite the fact of its being
explicitly noted in the Society regulations.
8.6. The Society Board is responsible for
the right usage of funds and taking care of
the property of the Society.
8.7. The Society owns, uses and distributes
its property and funds according to the
objectives.
8.8. The monetary transactions are carried
out in cash or by checks.
9. Liquidation of the Society and the
distribution of Property
9.1. The reorganization of the Society is
carried out according to the rules
determined by the legislation.
9.2. The liquidation of the Society is
carried out:

liquidation of the Society should be
distributed by the liquidating commission
according to the current legislation of
Georgia.

1. General Issues
1.1 Georgian Computer Society (the
Society) is a Georgian non-Governmental
academic-educational organization.
1.2 The Society is a non-profit legal
entity governed under Georgian civil
law. Its legal organizational type is a
Society. The Society becomes a legal
entity at the moment of its
registration. During accomplishment of
its goals defined in its regulations the
Society abides by Georgian Constitution,
Georgian civil law, other legal
regulations, this document and
international laws.
1.3 Depending on its goals, the Society
conducts its activities in Georgia and
other countries.
1.4 The Society is entitled to have own
funds, a round stamp baring its name,
own property, banking accounts in
Georgian and other currencies in
Georgian banks and those abroad, as well
as other attributes of a legal entity.
1.5 The Society is entitled to enter
contracts to achieve its goals. It can
determine duties and responsibilities,
have international communications with
other legal entities and individuals,
enter agreements, contracts, and
participate in activities that do not
conflict with Georgian law.
1.6 The Society has right to establish
affiliates (divisions) according to the
law, which will act by the norms adopted
by the Society, as well as carry out
additional entrepreneurial activities.
1.7 Legal arguments between the Society
and other bodies or individuals will be
settled according to the rules
established by the Georgian Law.
1.8 The Society will be created for
unlimited period.

5.1 Citizens of Georgia and other countries,
agreeing to the goals of the Society and
abiding by its regulation, are eligible to
become members of the Society
5.2 To become a member of the Society a
letter of application and a recommendation
of a current member are required. Accepting
a member is done by the supervisory board or
during a closed voting on General meeting.
5.3 Membership is terminated upon
* personal written request
* no payment of the membership fees for 12
consecutive months without prior consent of
the Supervisory Board
* decision of the general meeting of the
members of the Society, when the
person’s actions disagree with goals
of the Society, or the person does not
fulfill his/her duties
* court decision
* decease
5.4 Upon the decision of the Supervisory
Board, a person may be elected an Honorary
Member of the Society, when such a person
actively supports goals and activities of
the Society, but is not its member. Honorary
members are not necessarily subject to the
rights and duties defined in these
regulations. The status of an Honorary
Member is defined by the Supervisory Board.
6.1 Members of the Society are entitled to:
* participate in general meetings of the
Society
* vote and be elected to managerial
positions in the Society
* participate in activities and programs of
the society according to his/her
qualifications
* receive information about events organized
by the Society
* receive information from managerial bodies
and managers of the Society about their
activities
* propose issues for discussion to
managerial bodies and managers of the
Society and participate in the discussion
* participate in Supervisory Board’s
meetings with right to vote
* to use the information and the material
and technical basis of the Society
* to have the Certificate of Society
Membership
* to wear the Society emblem and use the
Society symbolic.
* to help achieving the Society aims by his
own activities
* to keep the Society Rules and the
decisions of the general meetings
* to take part in the arrangements carried
out by the Society
* to pay the membership dues according to
the amount determined by the general meeting
* to defend (to take care of) the honor,
authority and property of the Society.
* to make alterations and introduce
amendments into the Society Rules, that
needs the majority of the two thirds of the
presented members;
* to confirm (prove) the main trends, the
special purpose programs and the long-term
projects;
* to alter the aim of the Society; to
amalgamate the Society with other
organizations, maintaining the similarity of
the primary (original) aim, that needs the
majority of the two thirds of the presented
members.
* to define the powers of the members of the
board to elect the members of the board. The
election is carried out by secret ballot. In
case of dividing the votes into equal parts
the new sortition is carried out according
to the rule determined by the general
meeting;
* to listen to and confirm the accounts of
the board;
* to make a decision on ceasing the activity
of the Society, that needs a majority of the
two thirds of the presented members.

financial and other official documentation;
* carries out other activities according to
the rights defined by the board.
8. The property of the Society, its

* membership dues;
* charity donations made by Georgian and
foreign juridical persons;
* the income brought by functioning of own
enterprises and organizations of the
Society;
* grants;
* the income brought by the various
arrangements carried out according to the
law;
* the incomes of other sources that
don’t contradict the legislation;
* if all of its objectives are achieved;
* by the authority of the general meeting;
* in case of annulling of its registration
according to the legislation;
